Form of Graduate Letter Agreement

Dear Student,
We are very pleased that you have agreed for your Degree work (your “Work”) to be considered for
the Central Saint Martins ‘The Intelligent Optimist’ exhibition in the CSM Lethaby Gallery for the
London Design Festival 2015, opening on Saturday, 19 September 2015 and closing on Saturday, 17
October 2015 (“The Intelligent Optimist exhibition”).
As you will appreciate, it is a requirement of your involvement in the The Intelligent Optimist exhibition
that you agree to certain terms and conditions in relation to your Work.
This letter agreement (“Agreement”) sets out the terms and conditions we are asking you to agree to.
Please read them carefully and let us know if you have any questions. You are of course also free to
seek independent legal advice in relation to this Agreement. In signing the Agreement, you are
confirming that you have read and understood, and agree to, the terms and conditions set out below.

1.

References to your “Work” are to all the documents, designs, concepts, drawings, animations,
visualisations and other artistic, literary and/or other works or materials of any description that you
may create or produce, or may have already created or produced, which have been selected by the
selection committee of the The Intelligent Optimist exhibition.

2.

You confirm that you are entitled to enter into this agreement you warrant (promise) that your
Work is all your own work and does not and shall not plagiarise or, so far as you are aware, infringe
any other person’s work or intellectual property rights.

3.
In signing this Agreement you grant permission for your Work to be included in the The Intelligent Optimist exhibition from 19 September 2015 to 17 October 2015.
4.
By granting permission for your Work to be included in the The Intelligent Optimist exhibition,
you agree:
to providing a short biography of yourself; background information to your Work as
detailed in the accompanying cover letter and information sheet; and documentation of
your Work in the following formats (hi-res 300dpi, .jpg file format, 1-3 shots); and

to granting Central Saint Martins a non-exclusive, perpetual, worldwide, royalty free
licence to reproduce your Work in press and other marketing material relating to The
Intelligent Optimist exhibition; and

•

to you being responsible for delivery and collection of your Work as detailed in the
accompanying cover letter and information sheet. If your Work has been sold during the
Degree Show you might wish to come to an agreement with the buyer whereby they allow
you to display your Work at The Intelligent Optimist exhibition. For the avoidance of doubt
you will be responsible for the sale and all the conditions of the sale; and

To making yourself available to invigilate the exhibition for a four hour time slot during
the running time of the The Intelligent Optimist exhibition as detailed in the accompanying
cover letter and information sheet.

You agree that CSM may use, but are not obliged to use, your name, your photograph and a
short biography of you in the credits relating to the promotion of the The Intelligent Optimist exhibition,
and in any further marketing activities relating to the The Intelligent Optimist exhibition. Central Saint
Martins may request your participation in media interviews and you should try your best to co-operate
with such requests.

6.
In the course of The Intelligent Optimist exhibition, you may have certain information of a confidential nature about Central Saint Martins and Central Saint Martins’ associated businesses/companies
disclosed or made available to you. You must treat all such information as confidential and must not,
without the prior written permission of Central Saint Martins, disclose it to any other party, or use it other
than for the purposes of the Project.
7.

The obligations in paragraph 7 above shall not apply to any such information to the extent that it
is or comes into the public domain through no fault on your part, or to the extent that you can show it
was legitimately in your possession prior to it being disclosed or made available to you in relation to the
Project, or to the extent that it subsequently comes lawfully into your possession from a source other
than Central Saint Martins, or to the extent that disclosure is required by law.

8.

The copyright and all other intellectual property rights in any documentation and other materials
provided by Central Saint Martins to you in relation to The Intelligent Optimist exhibition shall remain the
property of Central Saint Martins. You shall hand over all such documentation and materials and all
copies of them to Central Saint Martins on demand and in any event upon completion of the The Intelligent Optimist exhibition.

9.
You agree to execute any further documents and do any further things which we may reasonably request of you to give full legal effect to the contents of this Agreement.
10.

This Agreement shall be governed by and construed in accordance with English law and you
agree to submit to the non-exclusive jurisdiction of the English courts.

Please can you confirm your agreement to the above by now countersigning this Agreement and returning it to us.
