Creditors who meet one or more of the statutory thresholds listed below may, between the delivery of this
notice and the Decision Date, require a Physical Meeting to be held to consider the matters detailed above.

If the threshold is met, the decision procedure will terminate without a Virtual Meeting being held and a
Physical Meeting shall be convened.

under Rule 15.38 of the Rules. A complaint must be made as soon as reasonably practicable and in any
event no later than 4pm on the business day following the day on which the person was, or appeared to
be, excluded; or where an indication is sought under Rule 15.37, the day on which the complainant received
the indication.
A creditor may appeal a decision by application to the court in accordance with Rule 15.35 of the Rules.
Any such appeal must be made not later than 21 days after the Decision Date.

GENERAL INFORMATION

Prior Relationship

The firm was contacted by Mr Jack Christopher Day on 21 June 2018 to discuss the financial situation
of the Company and the options available. The proposed Liquidator has had no other involvement with
the Company or its Director.

Notice calling a General Meeting of the Company on 31 July 2018 at 13:45 was sent to Shareholders
on 24 July 2018.
The following resolutions will be considered at the Shareholders Meeting:

DIRECTOR’S REPORT ON THE HISTORY OF THE COMPANY
The Company was incorporated on 10 May 2012 by the Director, Mr Jack Christopher Day and his
father, Mr Keith Douglas Day, as a catering and hospitality provider. Mr Day and his father had worked
as self-employed chefs and decided to go into business together, both having good reputations in the
industry. This led to their decision to incorporate a Limited Company.
The Company was initially funded by the sum of £10,000 introduced by the Directors to avoid any
lending from the Company’s bankers. Messrs Day introduced the sum of £5,000 each.
The Company traded from leased premises at Unit 5 Speke Business Park, Sprint Way, Liverpool, L24
9AB. There is a period of 3 years remaining on the lease. No value has been placed on the lease as it
is onerous, and the Liquidator will seek to disclaim the lease upon appointment.
The Company had previously traded from 25 Southey Close, Leicester, LE4 6DT; Mr Day’s parents’
residential property. Mr Day made the decision to relocate from Leicester to Liverpool, as his partner
resided there, and business prospects were greater in the area. Mr Day wanted to improve the
Company’s financial position. This is reflected in the Company’s accounts which show for the year
ending 31 May 2016, a deficit in reserves of £3,315.
Mr Day’s parents, Mr Keith Douglas Day and Mrs Jane Frances Day, had obtained a secured loan against
their residential property for £50,000 from Accredo, in order to pay for the deposit at the Company’s
new premises in Liverpool. However, in order to secure the loan, Mr Day’s parents had to be listed as
Directors of the company due to the nature of the loan. They were therefore appointed Directors of
the Company on 6 April 2017, resigning the same day. They were also appointed Directors of the
Company again on 15 April 2018, before resigning on 20 June 2018.
The Company primarily secured business by way of commercial contracts, hiring venues and catering
for corporate events, and obtained business through networking and word-of-mouth.
Mr Day networked for one year prior to moving to Liverpool, to generate business when the Company
eventually relocated. However, business was slow for the initial year following the move, from June
2017. Mr Day made the decision to pay £11,000 to a marketing company in order to improve the
position but unfortunately, this decision failed to deliver any further revenue.
Overall, this resulted in increasing pressure from Company creditors with the threat of bailiff action.
With no further available funds to invest in the Company and increasing liabilities, the Director sought
advice from Anderson Brookes Insolvency Practitioners Ltd and decided the Company should be placed
into Creditors Voluntary Liquidation.
No material transactions have been conducted in the preceding 12 months, other than in the ordinary
course of business.
The Director attributes the reasons for failure to the following factors:



Business not improving following relocation from Leicester to Liverpool;
The Company’s inability to settle its liabilities due to lack of cash flow.

The Company has no preferential creditors.
Prescribed Part
The prescribed part only applies where the company has granted a floating charge to a creditor after
15 September 2003. Where a floating charge over the company’s assets has been given a prescribed
amount of the company’s net property after paying the preferential creditors must be made available
to the unsecured creditors and the basis of this calculation is detailed below:
50% of the first £10,000 of the net property; and
20% of the remaining net property up to a maximum of £600,000.
The company has not granted a floating charge to any creditor after the 15 September 2003 and
consequently there will be no prescribed part.
Unsecured Creditors
The unsecured creditors claims are expected to total £100,127.74. I would point out that the amounts
shown have been provided by the Director and may not necessarily agree with your own records.
However, the amounts stated will not prejudice your claim as it will be agreed by the Liquidator in due
course.
£5,000 of the unsecured claims total relates to the fund that the Director personally injected into the
Company.

The issued and fully paid up share capital is £6 resulting in an overall total deficiency of £100,121.74.
